Jon E. Field is Co-Leader of the firm's Corporate Team practicing in the areas of business organizations, corporate governance, licensing, mergers and acquisitions, securities, and all aspects of development and finance.

Mr. Field represents real estate, health care, and small business clients in business entity formation and operation, corporate governance matters, private placements, and mergers and acquisitions. As Vice President of Legal Affairs for a commercial and mixed-use developer with over $1.5 billion under development, Mr. Field is seasoned at turning dirt into entitlements, construction, leasing, and sales. In 2008, he ultimately resolved $500,000,000 in distressed loans.

Mr. Field also has extensive experience as Corporate Counsel for a leading commercial space company with on-orbit facilities and an experimental habitat connected to the International Space Station (ISS). His experience with government contracting  provides a wealth of knowledge in the often overlooked government regulation of private contracting. In addition, Mr. Field is qualified for TS/SCI clearance for government procurement contracts and public-private partnerships.

Mr. Field handles asset and stock-based transactions, as well as roll-up transactions. He supports clients in structuring transactions and navigating multi-state business laws, such as fiduciary duties, preemptive rights, and appraisal rights. He also works with clients to negotiate representations and warranties, pre- and post-closing covenants, payment structures and earn-outs, non-competes, and indemnification obligations.
